Membership Dues & Terms

At the time of signing and submitting this Membership Agreement, the Member authorizes Le Malt Royale to charge the payment method provided for all applicable initiation fees and annual membership dues associated with the selected membership.

Membership dues are charged annually and may not be paid monthly unless otherwise expressly agreed to in writing by Le Malt Royale. All memberships have a minimum initial term of one (1) year.

In addition to annual membership dues, each active Member is subject to a quarterly minimum spend of $600 per Member at Le Malt Royale.

The quarterly minimum spend is separate from annual membership dues and initiation fees. The applicable quarterly minimum amount will be charged to the payment method on file and placed on the Member’s Royale account for eligible spending at Le Malt Royale during the applicable quarter.

For Joint and Corporate memberships using a single payment account, the combined quarterly minimum for participating Members may be charged to the primary payment method on file.

For memberships using split billing, each Member is responsible for their individual $600 quarterly minimum.

By signing this Membership Agreement, the Member expressly authorizes Le Malt Royale to charge the applicable quarterly minimum spend, annual membership renewal dues, and other authorized membership charges to the payment method maintained on file for the duration of the Member’s active membership.

Completion and submission of this Membership Agreement also authorizes Le Malt Royale to charge subsequent annual membership renewal dues unless the Member provides written notice of cancellation at least thirty (30) days prior to the applicable renewal date.

Unless otherwise modified in writing, the annual renewal date is based upon the Member’s original membership commencement date.

Applicable taxes will be charged as required by law.

Cancellation Policy

Membership fees, initiation fees, annual dues, and other applicable membership charges are non-refundable except where otherwise expressly agreed to in writing by Le Malt Royale or required by applicable law.

If a Member elects to cancel membership before the expiration of the then-current annual membership term, the Member forfeits the remaining unused portion of that membership term.

Cancellation during an active membership term does not entitle the Member to a prorated refund, credit, reimbursement, or extension for any remaining time in the membership year.

Cancellation shall not create any right to a refund of previously paid initiation fees, annual dues, quarterly minimum-spend obligations, or other non-refundable membership charges.

Renewal Opt-Out Policy

Membership dues automatically renew on the Member’s applicable annual renewal date unless written notice of non-renewal is received by email at least thirty (30) days before the membership expiration date.

The applicable renewal date may be based upon the Member’s original join date or a revised expiration date resulting from an approved membership modification.

A timely non-renewal request will prevent renewal for the following membership year but does not alter the Member’s obligations for the then-current membership term.

Unless the Member separately elects to cancel the active membership and forfeit the remaining membership time, a Member who timely opts out of renewal may continue to use the Club through the applicable membership expiration date.

Payment for Membership Charges, Goods & Services

Member authorizes Le Malt Royale to maintain a valid payment method on file during the term of membership.

Member authorizes Le Malt Royale to use that payment method for authorized membership charges, including annual membership dues, applicable quarterly minimum-spend obligations, event charges, guest charges, food and beverage purchases, and other goods or services purchased or authorized by the Member.

Member is responsible for maintaining a valid and current payment method on file.

If a scheduled or authorized membership charge is declined or otherwise unsuccessful, Le Malt Royale may attempt to process the outstanding balance using the current payment method on file.

Unpaid Balances

Member is responsible for all properly assessed membership charges and other balances associated with the Member’s account.

Le Malt Royale reserves the right to charge outstanding or overdue balances to the current payment method maintained on file.

Member may also be responsible for reasonable collection costs and legal fees incurred in connection with the collection of valid unpaid amounts, to the extent permitted by applicable law.

Dress Code

Members and their guests are expected to observe Royale’s dress standards and arrive in polished, appropriate attire consistent with the atmosphere of the Club.

Le Malt Royale reserves the right to deny admission to a Member or guest whose attire does not comply with current Club standards.

Dress standards may be updated from time to time. Members are encouraged to contact the Club with any questions regarding appropriate attire before visiting.

Private Lockers

Private humidified lockers may be available to Members for lease, subject to availability and applicable locker fees.

Lockers are intended for the storage of permitted personal items, including cigars and select personal bottles.

Members may not store illegal, prohibited, hazardous, or otherwise unauthorized products or materials in a locker.

Violation of this policy may result in removal of the prohibited items and may constitute grounds for suspension or termination of membership.

Le Malt Royale reserves the right to access a private locker when reasonably necessary for maintenance, inspection, safety, protection of Club property, compliance with law, or other legitimate Club purposes.

Upon expiration or cancellation of a locker lease or membership, the Member is responsible for removing all personal property within the timeframe communicated by Club management. Property left beyond that period may be handled in accordance with Club policy and applicable law.

Valuables & Personal Property

Members and guests are responsible for their personal belongings while on Club premises.

To the fullest extent permitted by law, Le Malt Royale is not responsible for loss, theft, or damage to personal property left unattended or otherwise brought onto Club premises, including property placed in coat-check areas or other common spaces.

Guests

Le Malt Royale is intended to be a place where Members may entertain friends, family, clients, and colleagues.

Guest access may vary depending upon the space, event, reservation type, capacity, or other Club considerations.

Members are responsible for ensuring that their guests comply with Club policies and standards.

Certain guest fees, reservation requirements, or event admission charges may apply.

The Member must comply with any current guest-access procedures communicated by Club management.

Bring Your Own Bottle & Bottle Sourcing

Members may bring permitted personal selections of wine or spirits for consumption at the Club in accordance with current Club policies and applicable law.

Le Malt Royale may also assist Members with sourcing select wines and spirits for enjoyment at the Club.

Members are responsible for complying with all applicable Club policies relating to the storage, service, and consumption of alcoholic beverages.

Member Reservation Guidelines

Members acknowledge that reservations and access are subject to availability, capacity, operational requirements, and current Club policies.

Advance reservations are recommended for dining.

Any requested changes to an existing reservation, including time changes, increases or decreases in party size, seating requests, or dietary requirements, should be communicated to Le Malt Royale in advance.

Certain spaces, events, or experiences may have separate reservation requirements, deposits, cancellation policies, guest limits, or fees.

Members interested in hosting private events at Le Malt Royale should contact Club management for availability, pricing, and applicable event terms.

Members are responsible for the conduct of their guests while on Club premises.

Guest access to Member accounts, private lockers, or other Member-specific privileges is not permitted unless expressly authorized by Le Malt Royale.

Member Events & Programming

Le Malt Royale may offer Member programming throughout the year, including tastings, mixers, dining experiences, entertainment, sporting events, seasonal programming, and other Member experiences.

Programming, schedules, availability, pricing, and participation requirements may vary and are subject to change.

Membership does not guarantee admission to every event or program.

Temporary Closures

Le Malt Royale may temporarily close all or a portion of the Club due to maintenance, repairs, construction, private events, governmental requirements, emergencies, weather, safety concerns, force majeure events, or other operational circumstances.

Temporary closures do not automatically extend a membership term or relieve the Member of annual membership dues or other applicable membership obligations unless otherwise determined by Le Malt Royale or required by applicable law.

If operations permanently cease, any rights or remedies will be determined in accordance with the Membership Agreement and applicable law.

Behavior & Misconduct

Le Malt Royale reserves the right to deny entry, remove an individual from Club premises, suspend privileges, or terminate membership when a Member or guest engages in conduct that threatens the safety, comfort, property, operations, or experience of others.

Prohibited conduct includes, but is not limited to:

• Illegal or unlawful behavior.
• Threatening, abusive, harassing, discriminatory, aggressive, or violent conduct.
• Inappropriate levels of intoxication or behavior resulting from intoxication.
• Lewd conduct, unwanted sexual advances, or inappropriate physical contact.
• Verbal abuse or disrespectful treatment of Members, guests, employees, vendors, or other persons on Club premises.
• Intentional damage to Club property or the property of another person.
• Unauthorized access to Member-only areas, accounts, lockers, or services.
• Failure to follow reasonable instructions from Club management or staff.

Members are responsible for the conduct of their guests while those guests are visiting the Club.

Serious or repeated violations by a Member or the Member’s guests may result in suspension or termination of membership.

Transfer of Membership

Membership is personal to the Member and is non-transferable except where expressly approved in writing by Le Malt Royale.

Email, Text & Other Communications

Members agree to receive operational and membership-related communications from Le Malt Royale using the contact information provided in connection with their membership.

These communications may include notices regarding membership, billing, reservations, Club policies, events, programming, closures, and other matters related to the Member’s relationship with Le Malt Royale.

Marketing text messages will only be sent in accordance with the Member’s applicable consent.

By separately opting in to receive marketing text messages, the Member consents to receive such messages from Le Malt Royale at the number provided. Consent to marketing messages is not a condition of membership or purchase. Message and data rates may apply. Message frequency may vary. Members may opt out of marketing text messages at any time by replying STOP or using any other provided unsubscribe method.

Member’s Financial Obligations

Member acknowledges that annual membership dues are charged for membership access and privileges and are not dependent upon the Member’s frequency of use of the Club.

Member further acknowledges that the quarterly minimum spend is a separate financial obligation associated with active membership.

Failure to visit the Club or fully utilize available account funds during an applicable quarter does not, by itself, relieve the Member of the quarterly minimum-spend obligation.

Member is responsible for all properly assessed membership dues, minimum-spend obligations, and other authorized charges associated with the membership.

Modifications to Membership Terms

Le Malt Royale may update Club rules, operating policies, benefits, programming, reservation procedures, dress standards, guest policies, and other non-financial aspects of membership from time to time.

Material changes to membership dues, minimum-spend requirements, billing frequency, or other recurring financial obligations will be communicated to Members in advance and implemented in accordance with the Member’s applicable Membership Agreement and applicable law.

Where additional consent or authorization is required by applicable law, Le Malt Royale will obtain such authorization before the applicable change takes effect.

Assumption of Risk & Liability

Members and guests are responsible for exercising reasonable care while using Club facilities and participating in Club activities.

Nothing in this Agreement is intended to waive or limit any right or liability that cannot lawfully be waived or limited under applicable law.

Members are responsible for damage caused by their intentional misconduct or the intentional misconduct of their guests, to the extent permitted by law.

Entire Agreement

This Membership Agreement, together with any applicable membership application, membership-specific pricing terms, incorporated Club policies, and other written documents expressly made part of the membership arrangement, constitutes the agreement between the parties concerning the Member’s membership.

This Agreement supersedes prior oral representations concerning the same subject matter.

No employee or representative of Le Malt Royale is authorized to modify the financial terms of a membership except through an authorized written agreement or written communication issued by an authorized representative of Le Malt Royale.

If any provision of this Agreement is determined to be invalid or unenforceable under applicable law, the remaining provisions will remain in effect to the fullest extent permitted by law.

By signing and submitting this Membership Agreement, the applicant acknowledges that they have reviewed and understand the terms of membership, including the applicable annual dues, initiation fee, $600 per-Member quarterly minimum-spend requirement, automatic renewal terms, cancellation requirements, and authorization to charge the payment method maintained on file.

The applicant’s membership and related financial obligations become effective upon acceptance and execution of the Membership Agreement by the parties, subject to the applicable membership terms.
